Prem Nagar, Borivali West, Mumbai – 400092, Maharashtra. Thereinafter referred to as the "Company", "we", "us", or "our"), under the brand name "AVD Glitter Jewels".

By accessing, browsing, or using the Website, submitting an enquiry, requesting a quotation, placing an order, purchasing any Products, or otherwise interacting with the Company through the Website, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies published on the Website, all of which collectively constitute a legally binding agreement between you and the Company.

If you do not agree with these Terms, you must immediately discontinue your use of the Website. The Company reserves the right to modify or update these Terms at any time by publishing the revised Terms on the Website. Your continued access to or use of the Website following such modification shall constitute your acceptance of the revised Terms.

Failure to provide satisfactory verification or supporting information may result in the rejection, suspension, or cancellation of such request.

Scope of the Website: The Website is operated by the Company to provide information regarding its jewellery and related products and services, enable Users to browse Product listings, search for Products, submit enquiries, request quotations, place orders, make purchases, communicate with the Company, and access related information and customer support. The Company may modify, add, or discontinue Website features, including user accounts, shopping, ordering, and payment facilities, from time to time.

Product Catalogue: The Website displays information relating to the Company's Products, including Product descriptions, categories, specifications, materials, designs, images, pricing (where applicable), and other relevant information. The Website may also allow Users to submit reference images or files and other specifications for customised or specific Product requirements.

Enquiries and Quotations: Users may submit enquiries or request quotations for Products and related services through the Website. The enquiry form may require information including the User's name, email address, mobile number, company name, Product category, reference images or files, country, state, city, and description of the User's requirements. Any quotation issued by the Company is indicative only and shall be subject to Product availability, applicable taxes, shipping and other charges (where applicable), specifications, customisation requirements, commercial terms, and the Company's final written confirmation.

Unless otherwise expressly stated in writing, quotations issued by the Company shall remain valid only for the period specified therein or, where no validity period is mentioned, for a period of seven (7) days from the date of issue. The Company reserves the right to revise, withdraw, or cancel any quotation prior to its acceptance.

Orders: All orders shall be subject to acceptance by the Company. The Company reserves the right to accept, reject, modify, or cancel any order where Products are unavailable, pricing or listing errors occur, Product specifications or customisation requirements require clarification, payment is not received, verification requirements are not satisfied, or incorrect information has been provided by the User.

Payments: Payments for Products may be made through the payment methods or payment plans made available by the Company from time to time. Where online payment facilities are made available in future, payments shall be processed through authorised third-party payment gateway providers, banks, financial institutions, or other payment service providers in accordance with the Company's applicable payment terms.

Order Fulfilment and Delivery: Upon acceptance of an order and receipt of the applicable payment, the Company shall arrange processing, dispatch, and delivery of the Products in accordance with the Company's applicable shipping and delivery policies or such other mutually agreed commercial terms. The Company further reserves the right to take appropriate legal action, including seeking injunctive relief, damages, or any other remedy available under applicable law, in respect of any unauthorised use of the Website, infringement of the Company's intellectual property rights, or any activity that causes or is likely to cause loss, damage, or reputational harm to the Company.

Payment Terms

Pricing and Quotations

Unless otherwise expressly stated, the prices, quotations, Product specifications, and other commercial information displayed on the Website are indicative only and are subject to revision without prior notice. A binding contract shall arise only upon the Company's acceptance of an order or issuance of a written confirmation.

Product prices, quotations, applicable taxes, shipping and delivery charges, and other applicable charges shall be communicated to the User prior to order confirmation and shall be payable in accordance with the agreed commercial terms.

The Company reserves the right to correct any pricing, typographical, calculation, listing, or technical errors appearing on the Website or in any quotation before accepting an order.

Unless otherwise agreed in writing, all applicable taxes, duties, levies, shipping charges, insurance charges, customs duties, and other incidental costs applicable to an order shall be borne by the User.

Payment Processing

Where online payment facilities are made available, payments shall be processed through authorised third-party payment gateway providers, banks, financial institutions, or other payment service providers in accordance with the Company's applicable payment terms.

The Company shall not ordinarily collect, store, or retain sensitive payment credentials, including complete debit or credit card numbers, CVV, PINs, passwords, OTPs, or similar authentication credentials where such information is collected and processed directly by the relevant Payment Service Provider.

The Company shall not be responsible for any delay, interruption, transaction failure, payment reversal, or other error attributable to any third-party payment gateway, banking institution, payment network, or financial intermediary, except to the extent required under applicable law.

Order Confirmation, Cancellation and Refunds

Orders shall be subject to acceptance by the Company. Submission of an enquiry, quotation request, or order through the Website shall not constitute acceptance by the Company or create any binding obligation until confirmed by the Company.

Cancellation, return, replacement, and refund of Products shall be governed by the Company's applicable Return, Refund and Cancellation Policy, as published on the Website and amended from time to time.

Suspension or Termination by the Company: The Company reserves the right to suspend, restrict, terminate, or refuse access to the Website or any user account, where applicable, or reject any enquiry, quotation request, or order, with or without prior notice, where it reasonably believes that the User has:

Violation of Terms: breached these Terms or any other policy published on the Website.

Non-Payment: failed to comply with any applicable payment obligations or other agreed commercial terms.

Inappropriate Behavior: engaged in fraudulent, unlawful, misleading, abusive, suspicious, or unauthorised activities.

reproduce, disclose, distribute, commercially exploit, or use any quotation, catalogue, product specification, design, customisation proposal, certificate-related information, or other proprietary material shared by the Company for any purpose other than evaluating or purchasing the Company's Products, without the Company's prior written consent

Any designs, concepts, sketches, customisation proposals, product images, or other materials created or provided by the Company in connection with customised or bespoke jewellery shall remain the Company's intellectual property unless otherwise expressly agreed in writing.

Limitation of Liability

any delay or failure in payment processing, dispatch, shipment, or delivery caused by payment gateway providers, logistics partners, custom authorities, internet service providers, manufacturers, suppliers, or other third parties.

any loss, damage, defect, or deterioration arising from improper use, storage, handling, cleaning, maintenance, modification, resizing, repair, alteration, or treatment of the Products by the User or any third party not authorised by the Company.

any loss, theft, damage, or deterioration of a Product occurring after delivery to the User, except to the extent attributable to the Company's breach of its obligations or applicable law.

any variation in the colour, appearance, texture, dimensions, finish, or other characteristics of natural gemstones, jewellery materials, or Products that is within reasonable industry standards or the specifications agreed for the relevant Product.

any loss or damage arising from the User's failure to provide accurate specifications, measurements, designs, customisation requirements, delivery details, or other information necessary for processing an order.

The Website, its Content, quotations, Product information, and Products are provided on an "as is" and "as available" basis. Except to the extent required under applicable law, the Company makes no representation or warranty regarding the uninterrupted availability of the Website or the accuracy, completeness, reliability, or suitability of any Content or Products.

To the maximum extent permitted under applicable law, the Company's aggregate liability arising out of or in connection with these Terms, the Website, any quotation, or any Product shall not exceed the amount actually paid by the User to the Company for the specific Product giving rise to the claim, except where a higher liability is mandatory under applicable law.

Dispute Resolution and Governing Law

If you have any questions, concerns, complaints, or disputes relating to the Website, any enquiry, quotation, order, Product, or these Terms, you should first contact the Company using the contact details provided on the Website. The Company shall endeavour to resolve such matters amicably through its internal customer support and grievance redressal mechanism.

If the dispute is not resolved amicably within thirty (30) days from the date of written notice by either Party, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties. In the event the Parties fail to mutually appoint the arbitrator, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra, and the arbitration proceedings shall be conducted in the English language.

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 10.2, the competent courts at Mumbai, Maharashtra, shall have exclusive jurisdiction over all matters arising out of or relating to these Terms.

Nothing contained in this Clause shall prevent the Company from seeking interim, injunctive, or equitable relief from any court of competent jurisdiction for the protection of its intellectual property rights, confidential information, or any other proprietary rights, pending the outcome of arbitration.

Modifications

Right to Amend Terms: The Company reserves the right to amend, modify, update, or replace these Terms at any time to reflect changes in the Website, Products, services, business operations, applicable laws, regulatory requirements, or industry practices.

Publication of Changes: Any revised Terms shall become effective upon publication on the Website unless otherwise stated. Where required under applicable law, the Company may also notify Users of material changes through email or any other communication channel made available by the User.
